Indemnity Policy

indemnify Keep The Moment LTD and any reseller, from
any and all direct or indirect damages.
The sole and entire maximum liability of Keep The Moment
LTD, for any reason, and the buyer's sole and exclusive
remedy for any cause whatsoever, shall be limited to the
amount paid by the buyer for the particular items
purchased. Keep The Moment
LTD and any of its affiliates, dealers or suppliers are
not liable for any indirect, special, incidental, or
consequential damages (including damages for loss of
business, loss of profits, litigation, or the like),
whether based on breach of contract, breach of warranty,
tort (including negligence), product liability or
otherwise, even if advised of the possibility of such
damages. The limitations of damages set forth above are
fundamental elements of the basis of the bargain between
Keep The Moment
LTD and the buyer. This site and goods and services
would not be provided without such limitations. Some
Provincial statutes may apply regarding limitation of

Warranty
Keep The Moment
LTD warrants its goods sold to be free of material and
workmanship defects and fit for their stated purpose.
All other warranties, express or implied, are disclaimed.
If a product
purchased is defective or damaged, the buyer can return
the product in its original condition within 7 days of
receipt
and the original purchase price, and the original
shipping charges (if applicable), shall be promptly
refunded.
Return of goods for any other reason, shall be at the
sole discretion and terms of the Company.

Moment

This Agreement may be terminated by either party without
notice at any time for any reason. The provisions of

2 (Use of the Service), 3 (Indemnification), 4 (Third
Party Rights) and 6 (Miscellaneous) shall survive any
termination of this Agreement.
6. Miscellaneous.
This Agreement shall all be governed and construed in
accordance with the laws of Canada applicable to
agreements made and to be performed in Canada. You agree
that any legal action or proceeding between Keep The
Moment
LTD and you for any purpose concerning this Agreement or
the parties' obligations hereunder shall be brought
exclusively in a federal or Provincial court of
competent jurisdiction sitting in Canada. Any cause of
action or claim you may have with respect to the Service
must be commenced within one (1) year after the claim or
cause of action arises or such claim or cause of action
is barred. Keep The Moment
LTD's failure to insist upon or enforce strict
performance of any provision of this Agreement shall not
be construed as a waiver of any provision or right.
Neither the course of conduct between the parties nor
trade practice shall act to modify any provision of this
Agreement. Keep The Moment
LTD may assign its rights and duties under this
Agreement to any party at any time without notice to
you.
Any rights not expressly granted herein are reserved.
